GFT Technologies AG sells GFT Media to Pixelpark AG

Concentration on core competences continued/strategic partnership agreed

St. Georgen, 20 September 2005 - GFT Technologies AG, one of Europe’s leading providers of innovative IT solutions, has today announced the sale of its business unit GFT Media, which specialises in online communications, marketing and design. The purchaser is Pixelpark AG, a leading interactive service provider for digitally supported business processes. With this sale GFT is continuing its strategy of focusing on its core competences. In addition the two companies have agreed a strategic partnership.

With effect from 30 September 2005 GFT Media will be divested from the GFT group and will be taken over by Pixelpark. With this step Pixelpark, an interactive service provider for multimedia and IT based in Berlin, is continuing to expand its core business. The parties have agreed to keep the financial terms of the transaction confidential.
In the course of the deal GFT and Pixelpark have also agreed a strategic partnership with the aim of jointly offering their customers comprehensive online solutions in future. To achieve this the know-how of both companies is to be utilised in the partnership: Pixelpark will provide more than 14 years’ experience in the realisation and optimisation of multimedia and internet solutions. GFT will contribute almost two decades of technology and project experience with innovative IT solutions, particularly in the financial services sector.
The creative division of GFT specializes in the advice, development and implementation of eBusiness solutions in the frontend area.

“With GFT Media we have an interesting and successful division, which has developed innovative multimedia solutions for many of our customers”, commented Ulrich Dietz, Chairman of the Board of GFT Technologies AG. “However, in the course of our increasing focus on our core business as a provider of IT services it has become clear that it would be beneficial both for GFT and for the future development of GFT Media to integrate this division in a company which is one of the leaders in the interactive services area in Germany and is more strongly rooted in the `agency business´.”

“With the takeover of the creative division of GFT Pixelpark has taken another step towards attaining a leading position in the market for interactive services”, commented Michael Riese, Chairman of the Board of Pixelpark AG, on the signing of the contract. “As promised we have actively exploited the market consolidation process and strengthened our core business with this acquisition.”
